Welcome to ICRegistry (the "Platform"). By accessing or using our website and services, you agree to be bound by the following Terms and Conditions ("Terms"). Please read them carefully before registering a project or opening an account.

1. Purpose of the Platform
ICRegistry provides a framework for the registration, quantification, monitoring, and verification of climate projects. Our mission is to promote environmental integrity and transparency in the carbon market by facilitating the issuance and tracking of International Carbon Credits (ICCs).

2. Eligibility & Account Registration

Account Creation: To register projects or trade credits, you must create an account. You agree to provide accurate, current, and complete information.
Authority: If you are using the Platform on behalf of an entity, you represent that you have the legal authority to bind that entity to these Terms.
Security: You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.

3. Project Registration & Requirements

Standard Compliance: All climate projects submitted to ICRegistry must conform to the ICR Requirement Document and relevant ISO standards (e.g., ISO 14064-2).
Documentation: Project proponents must submit all required documentation, including Project Design Descriptions (PDD), Validation Reports, and Proof of Ownership.
Truthfulness: You warrant that all data provided regarding emission reductions or removals is accurate and has not been double-counted or registered on another registry.

4. Issuance and Use of ICCs

Validation & Verification: ICCs are issued based on validated and verified mitigation outcomes.
Activation: "Ex-ante" credits (issued before verification) remain inactive and cannot be retired until they are officially verified and activated by an approved Validation/Verification Body (VVB).
Adjustment Account: Proponents agree to the 1% buffer deposit (or as otherwise specified) to the Adjustment Account to ensure the permanence of mitigations.

5. Fees and Payments

Fee Schedule: Use of the registry is subject to fees for account opening, project registration, issuance, and transfer of ICCs as outlined in our [Fee Schedule].
Non-Refundability: Unless otherwise stated, all fees paid to ICRegistry are non-refundable, regardless of whether a project successfully completes the verification process.

6. Intellectual Property & Data

Public Disclosure: By submitting a project, you acknowledge that project documentation (excluding sensitive IP or confidential financial data) will be made available to the public to ensure market transparency.
License: You grant ICRegistry a worldwide, royalty-free license to host, display, and distribute the data provided for the purpose of maintaining the registry.

7. Prohibited Conduct
Users agree not to:

Provide false or misleading information regarding climate impacts.
Attempt to circumvent the registry’s security or blockchain-tracking mechanisms.
Engage in "double-selling" or fraudulent transfer of carbon instruments.

8. Limitation of Liability
ICRegistry provides the platform "as is." We do not guarantee the financial success of any climate project or the future market value of ICCs. In no event shall ICRegistry be liable for any indirect, incidental, or consequential damages arising from the use of our services.

9. Suspension and Termination
We reserve the right to suspend or terminate your account and delist projects if we find a breach of these Terms, evidence of fraud, or a failure to meet environmental integrity standards.

10. Governing Law
These Terms shall be governed by and construed in accordance with the laws of [Your Country/Region, e.g., Iceland], without regard to its conflict of law provisions.

11. Changes to Terms
ICRegistry reserves the right to modify these Terms at any time. We will notify users of significant changes by posting a notice on the site. Your continued use of the platform constitutes acceptance of the updated Terms.
